The Recruiting Squad – Terms & Conditions

Welcome to The Recruiting Squad (“TRS”, “we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of:

  • our website at www.therecruitingsquad.com and any related sites (the “Site”);

  • our online platform, tools, dashboards, and services that support recruiting and hiring (the “Platform”); and

  • any associated content, emails, messages, features, products, or programs (together with the Site and Platform, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy (collectively, the “Agreement”). If you do not agree, do not use the Services.


1. Key Definitions

  • “Client”, “Employer”, “you”, “your” – any individual or organization using TRS to source, screen, or hire candidates.

  • “Job Seeker”, “Candidate” – an individual who creates a profile, applies to roles, or is presented to Clients via TRS.

  • “Account” – a registered TRS account for a Client or Candidate.

  • “Content” – any text, data, images, resumes, job descriptions, comments, messages, or other material submitted, posted, or displayed via the Services.

  • “Estimate” or “Instant Pricing Estimate” – TRS’s projected, capped number of billable hours and corresponding cost to support a defined role.


2. Who These Terms Apply To

These Terms apply to:

  1. All users of the Site and Services (Clients, Candidates, and visitors);

  2. Additional terms for Employers / Clients (Section 7);

  3. Additional terms for Job Seekers / Candidates (Section 8);

  4. Additional terms for TRS Recruiters / Independent Contractors (Section 17).

Where sections conflict, Employer/Candidate/Recruiter-specific terms supplement the “All Users” terms.


3. Use of the Site & Services

3.1 Eligibility

You may use the Services only if:

  • you are at least 18 years old; and

  • you have the legal authority to enter into this Agreement on your own behalf or on behalf of the entity you represent.

If you create an Account on behalf of an Employer, you represent and warrant that you have authority to bind that Employer to this Agreement.

3.2 Acceptable Use

You agree that you will not:

  • use the Services for any unlawful purpose or in violation of any applicable law;

  • impersonate any person or entity or misrepresent your affiliation;

  • post or transmit any misleading, fraudulent, defamatory, obscene, harassing, discriminatory, or otherwise objectionable Content;

  • reverse engineer, scrape, crawl, or attempt to extract data from the Services except as permitted by TRS;

  • interfere with the operation, security, or performance of the Services;

  • attempt to circumvent TRS’s pricing or billing model, including by hiring or engaging a candidate introduced through TRS while intentionally avoiding TRS fees.

TRS may suspend or terminate access to the Services for violations of these Terms.


4. Cookies & Privacy

We use cookies and similar technologies to operate and improve the Services. By using the Site, you consent to our use of cookies as described in our Cookie Policy.

Our Privacy Policy explains how we collect, use, and protect personal data about Clients and Candidates. By using the Services, you acknowledge that TRS will process your information in accordance with that policy.


5. Intellectual Property

Unless otherwise stated:

  • The Site, Platform, and all associated content, features, and functionality (excluding user-submitted Content) are owned by TRS and/or its licensors, and are protected by intellectual property laws.

  • You may use the Services solely for their intended business or personal hiring / job-seeking purposes, subject to these Terms.

You must not:

  • republish, sell, rent, or sub-license our content;

  • reproduce, duplicate, or copy our Site or Platform;

  • redistribute our content without our prior written consent.

5.1 User Content & License to TRS

When you submit Content (e.g., job descriptions, resumes, comments, messages), you:

  • represent that you have all rights needed to share that Content; and

  • grant TRS a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, adapt, modify, distribute, display, and create derivative works from your Content as needed to operate, improve, and promote the Services.

Comments and content posted by users do not necessarily reflect the views of TRS. We reserve the right (but have no obligation) to monitor, edit, or remove Content we consider inappropriate, unlawful, or in violation of these Terms.


6. Accounts & Security

6.1 Account Creation

To use certain features, you must create an Account. You agree to:

  • provide accurate, current, and complete information;

  • keep your login credentials confidential;

  • promptly update your information as needed.

You are responsible for all activity under your Account. If you suspect unauthorized use, you must notify TRS promptly.

6.2 Employer / Client Accounts & Linked Users

Employer Accounts may include multiple users (e.g., Admins and team members). Admins may:

  • invite or remove users;

  • assign roles and levels of access;

  • view activity within the Employer Account.

By joining a linked Employer Account, you acknowledge:

  • other authorized users may see your actions within that Employer Account (e.g., job postings, candidate interactions);

  • the Employer owns the account-related data.

TRS is not responsible for internal access or misuse by your team; that is your responsibility to manage.


7. Additional Terms for Employers / Clients

7.1 Use of TRS for Hiring

As a Client, you are responsible for:

  • the content of your job postings, role requirements, and selection criteria;

  • compliance with all applicable laws (e.g., nondiscrimination, wage transparency, minimum wage, privacy, record retention);

  • your hiring decisions, including who you interview, engage, or employ.

TRS does not:

  • act as your legal advisor;

  • guarantee candidate suitability or performance;

  • make hiring decisions for you;

  • maintain your employment records.

7.2 Candidate Management Tools

TRS may provide tools that allow you to:

  • view resumes and profiles;

  • send messages;

  • track candidate status;

  • schedule interviews;

  • view summaries or AI-generated insights.

You agree that:

  • Any summaries, scores, or AI-generated insights are for convenience only and are not recommendations or guarantees.

  • You are solely responsible for reviewing full candidate information and for all employment decisions.

  • You are responsible for compliance with laws regarding screening, accommodations, demographic questions, and record retention.

7.3 Non-Circumvention (Hiring Candidates Outside TRS)

If TRS introduces a Candidate to you (including through the Platform, email, or any TRS-facilitated process), you agree that:

  • You will not knowingly circumvent TRS by engaging, employing, or contracting with that Candidate for a role substantially similar to or derived from a TRS search while intentionally avoiding TRS fees.

  • TRS may charge applicable fees (or equivalent hours) if you engage a Candidate introduced by TRS outside of the agreed TRS scope in violation of this non-circumvention provision.

The applicable fee model (e.g., hours, minimums) will be described in your estimate, SOW, or order form.

7.4 Non-Solicitation and Hiring of TRS Personnel

You acknowledge that TRS’s recruiters, account managers, delivery team members, and other personnel (“TRS Personnel”) are a valuable asset of TRS.

Accordingly, you agree that:

  1. No direct hire or engagement
    During your use of the Services and for twelve (12) months after the later of (a) your last active search with TRS, or (b) your last use of the Platform, you will not, directly or indirectly, hire, engage, or solicit for employment or contract any TRS Personnel with whom you had contact or who were materially involved in providing services to you, without TRS’s prior written consent.

  2. 30% finder’s fee if you hire TRS Personnel
    If you hire or engage any TRS Personnel (as an employee, contractor, consultant, or through any affiliated entity) in violation of this provision, you agree to pay TRS a finder’s fee equal to thirty percent (30%) of that individual’s first year’s total expected compensation (including base salary, expected bonuses, commissions, and guaranteed incentives).

  3. Liquidated damages
    You agree that this 30% finder’s fee represents a reasonable pre-estimate of the damages TRS would suffer from the loss of such personnel (including recruiting, training, and replacement costs), and is intended as liquidated damages, not a penalty.

  4. No avoidance through intermediaries
    This restriction applies to hiring or engaging TRS Personnel directly or indirectly, including through any subsidiary, affiliate, related entity, or third party acting on your behalf.

7.5 Timely Feedback and Interview Response

To maintain momentum and give TRS a fair opportunity to fill your role, you agree to use reasonable, good-faith efforts to:

  • Review candidate submittals and provide feedback within forty-eight (48) hours of receiving them (e.g., advance, reject, or hold, plus any relevant comments or reasons where appropriate); and

  • Respond to interview scheduling requests within seventy-two (72) hours, including confirming, rescheduling, or declining proposed interview times.

You acknowledge that:

  • Delays in providing feedback or responding to interview requests may negatively impact candidate engagement, time-to-fill, and overall search outcomes; and

  • TRS is not responsible for any failure to fill a role or delay in filling a role that is materially caused by your delay in providing feedback or interview response as described above.

For the avoidance of doubt, where TRS’s inability to fill a role within the agreed scope is materially due to your failure to provide timely feedback or interview responses under this Section 7.5, such role will not be considered “unable to be filled” for purposes of any credits or guarantees described in Section 9.5, unless otherwise agreed in writing by TRS.


8. Additional Terms for Job Seekers / Candidates

As a Candidate, you agree that:

  • The information you provide (resume, profile, experience, credentials) is accurate and not misleading.

  • TRS may share your information with relevant Clients who may be interested in your background, in accordance with our Privacy Policy.

  • TRS does not guarantee that you will receive any interview, offer, or job.

You must not:

  • post unlawful, discriminatory, or abusive content;

  • impersonate any other person;

  • submit false or misleading experience or credentials.

TRS may, at its discretion, remove Candidate profiles or content that violate these Terms.


9. Pricing, Payments, Guarantees & Credits

9.1 General Billing

By engaging TRS services, you agree to pay all fees described in:

  • your Instant Pricing Estimate, and/or

  • any applicable SOW, membership agreement, or order form.

You authorize TRS to charge your designated payment method (e.g., credit card, ACH) for:

  • hourly recruiting services;

  • membership fees;

  • other agreed services.

Fees are in U.S. dollars (USD), plus any applicable taxes, unless stated otherwise.

9.2 Pay-as-You-Go (Hourly) Model

Under the pay-as-you-go model:

  • TRS bills by the hour for recruiting work performed to fill a defined role.

  • Your Instant Pricing Estimate sets a capped hour limit (the “hour cap”) and projected cost for that role.

  • You will never be billed beyond the hour cap for that role.

Actual billing details (when charges occur, any prepayments, etc.) will be described in your estimate or order form.

9.3 Membership with Performance Insurance (if applicable)

For Clients who enroll in a TRS membership:

  • You pay a recurring membership fee (e.g., monthly or annual) plus discounted hourly rates or bundled hours, as set forth in your membership agreement.

  • Membership benefits (including any “Performance Insurance” for new hires) are governed by the specific membership terms you accept (e.g., eligibility window, hours included for replacement work, limitations).

Membership renewals, cancellations, and refunds (if any) are governed by your membership agreement and applicable law.

9.4 No-Surprise Estimate Guarantee

As described in our customer-facing materials:

  • Your Instant Pricing Estimate for a role is a ceiling on billable hours for that search.

  • TRS will not bill you beyond the approved hour cap for that role, even if the search requires more time.

  • TRS may perform internal checkpoints (e.g., around one-third and two-thirds of the hours) to provide transparency on market conditions and recommend continuing, adjusting, or pausing a search.

9.5 If TRS Cannot Fill a Role – 30% Credit

If TRS is unable to fill your role within the agreed scope, and not primarily due to your delays in providing feedback or interview responses as described in Section 7.5, then:

  • Your cost will never exceed your approved estimate for that role;

  • You keep all completed sourcing work, candidate pipelines, and market insights delivered by TRS;

  • TRS will provide a credit equal to 30% off your next position with TRS, subject to any additional terms (such as expiration or usage limits) specified in your SOW or pricing agreement.

This credit is not a cash refund and may only be applied to future TRS services.

9.6 No Staffing Agency Placement Fees

TRS operates on a usage-based, hourly model. Unless explicitly agreed in writing:

  • TRS does not charge percentage-based placement or “finder’s” fees for candidate placements.

  • All charges are based on time and services rendered under the agreed estimate or membership terms.

(This is separate from the 30% finder’s fee for poaching TRS Personnel under Section 7.4.)


10. Disclaimers

Except as expressly set out in a written agreement signed by TRS:

  • The Services are provided on an “as is” and “as available” basis.

  • TRS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • TRS does not warrant that:

    • the Services will be uninterrupted or error-free;

    • any candidate or employer is suitable, reliable, or will perform as expected;

    • any role will be filled, or filled within a specific timeframe.

You are solely responsible for your use of the Services and any decisions made based on information obtained through TRS.


11. Limitation of Liability

To the maximum extent permitted by law:

  • TRS and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Services or this Agreement.

  • TRS’s total aggregate liability arising out of or relating to the Services or this Agreement will not exceed the amounts you paid to TRS for the Services in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, TRS’s liability will be limited to the maximum extent permitted by law.


12. Indemnification

You agree to indemnify, defend, and hold harmless TRS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Services;

  • your Content (including job postings, messages, and application materials);

  • your violation of these Terms or any applicable law;

  • your hiring practices, decisions, or treatment of Candidates.


13. Changes to the Services and Terms

TRS may modify, suspend, or discontinue any part of the Services at any time.

We may also update these Terms from time to time. When we do, we will update the “Last updated” date at the top. If changes are material, we may provide additional notice (e.g., email or banner). Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.


14. Governing Law & Dispute Resolution (Including Arbitration)

Note: This section should be finalized by your attorney to align with your actual arbitration program.

In general form:

  • These Terms are governed by the laws of the State of [STATE], excluding its conflict of law rules, and by applicable U.S. federal law.

  • Most disputes between you and TRS will be resolved through binding arbitration, on an individual basis, rather than in court, except as otherwise provided (e.g., small claims, IP disputes).

  • You and TRS waive the right to a jury trial and to participate in class actions, to the extent permitted by law.

15. Termination

TRS may suspend or terminate your access to the Services at any time, with or without cause, subject to any separate written agreement you may have with TRS.

You may stop using the Services at any time. Termination does not relieve you of any obligations to pay fees incurred before termination or limit any rights TRS may have.


16. Miscellaneous

  • Entire Agreement. These Terms, together with any SOW, order form, or additional written agreement and our Privacy Policy, constitute the entire agreement between you and TRS relating to the Services.

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

  • No Waiver. TRS’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

  • Assignment. You may not assign or transfer this Agreement without our prior written consent. TRS may assign this Agreement in connection with a merger, acquisition, or sale of assets.


17. Additional Terms for TRS Recruiters / Independent Contractors

This Section 17 applies to individuals and entities engaged by TRS as independent contractor recruiters, sourcers, or delivery partners (collectively, “TRS Recruiters”).

17.1 Independent Contractor Status

TRS Recruiters are engaged as independent contractors and not as employees, partners, or agents of any TRS Client. Nothing in these Terms creates an employment relationship between a TRS Recruiter and any Client, or a partnership or joint venture between TRS and a TRS Recruiter.

17.2 Non-Solicitation of TRS Clients

TRS Recruiters acknowledge that, during the course of their engagement with TRS, they will have access to TRS Clients, Client contacts, hiring managers, and confidential information regarding Client needs and TRS’s business.

Accordingly, each TRS Recruiter agrees that, without TRS’s prior written consent:

  1. No direct engagement with TRS Clients
    During the term of their engagement with TRS and for a period of twelve (12) months following the end of that engagement (for any reason), the TRS Recruiter will not, directly or indirectly:

    • solicit, market to, or attempt to provide recruiting, staffing, talent sourcing, or similar services to any TRS Client for whom they performed work or about whom they learned through TRS; or

    • enter into any agreement to provide recruiting, staffing, or similar services with such TRS Client outside of TRS.

  2. No circumvention of TRS
    TRS Recruiters will not:

    • divert or attempt to divert any TRS Client or Client opportunity away from TRS;

    • encourage any Client to terminate or reduce its relationship with TRS in order to work directly with the TRS Recruiter or any third party; or

    • use TRS’s confidential information, processes, or data to compete with TRS or to build a competing relationship with any TRS Client.

  3. Remedies for breach
    In the event of a breach of this Section 17.2, in addition to any other rights and remedies available at law or in equity, TRS may seek:

    • injunctive relief (without the need to post bond) to prevent or stop ongoing violations; and

    • monetary damages, including but not limited to an amount equal to thirty percent (30%) of all gross fees, commissions, or other compensation received by the TRS Recruiter (or any entity they control) from the solicited TRS Client for recruiting, staffing, or similar services during the twelve (12) months following such breach, as agreed liquidated damages and not a penalty, in recognition of the difficulty of calculating TRS’s exact losses.

  4. No avoidance through intermediaries
    The restrictions in this Section 17.2 apply to solicitations and engagements made:

    • directly by the TRS Recruiter; or

    • indirectly through any company, affiliate, or third party acting on the TRS Recruiter’s behalf or under their control.
